PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT NOTICES AND INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES THAT YOU SUBMIT ANY CLAIMS TO BINDING AND FINAL ARBITRATION.

These Terms and Conditions (“Terms”) constitute a legally binding contract between you and PROMISE FINANCIAL, INC., DBA ‘PROMISSORY’ (“Promissory”). By accessing or using the Promissory.com website, or any available features or content on the site (collectively, the “Site”), you agree to be bound by these Terms and Conditions.

These Terms govern only your use of the Site. If you choose to purchase or access Promissory’s products, services, or subscription offerings, your use of those services (collectively the “Services”) may be subject to separate terms presented at the time of purchase or account activation. These Terms apply in addition to, and do not replace or supplant, such separate terms.

Please take the time to carefully read these terms and conditions. You may keep a printed or archived copy of these Terms for your records for future reference. You further acknowledge that you understand that these Terms require the use of arbitration on an individual basis to resolve disputes, that you are waiving any right you may otherwise have to a jury trial or class action lawsuit, and that you may be limiting the potential remedies available to you in the event of a dispute as described herein.

As explained in greater detail below, when using the Site, cookies and similar technologies may be used by Promissory’s online partners and/or vendors to associate these activities with other personal information they or others have about you, including by association with your email address. Promissory and/or its service providers may then send communications and marketing to you. You may opt out of receiving this advertising by visiting https://app.retention.com/optout.
1. Acceptance of terms
By accessing or using Promissory.com, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Site or Services. Use of Promissory’s products and services may also be subject to additional terms presented at the time of purchase or account activation, which you must accept in order to complete a transaction or access those products and services. Promissory reserves the right at any time and without prior notice, at Promissory’s sole discretion, to revise the Terms or to impose new terms and conditions with respect to ongoing access to or use of the Site and/or the Services. Such revisions and additions shall be effective immediately upon posting on the Site. You agree that you shall be deemed to be apprised of and bound by any modification to these Terms. Any access or use of the Site by you after revisions or additions to these Terms shall constitute and be deemed to be your acceptance of such new terms and conditions, including but not limited to any revisions or additions therein. Additionally, please read our Privacy Policy which also governs your use of this Site.
2. Service description
Promissory.com, owned and operated by Promise Financial, Inc., provides technology tools and automated workflows to help users generate trust documents, facilitate tax form completion, and coordinate related steps commonly associated with trust administration and pre-liquidity tax planning. Use of these tools and services within the meaning of the term Service may be expanded and subject to additional terms and conditions as may be provided at the time of use.
If you are a wholesale or referral partner of Promissory, or if your use of the Site or Services originated through a wholesale or referral partner of Promissory, the Services may allow you to input and/or share information with other authorized end users through any number of features, including invitations and client management through a dashboard designed for client management and progress tracking. These sharing and provisioning rights may give you and/or the party who referred you the ability: (a) to access, download, read, copy, edit, and analyze information that another authorized end user made available via the Services, (b) to upload information to the Services for another authorized end user to access or otherwise use or otherwise access, and/or (c) to grant another authorized end user the ability to view and create summaries or reports of your use of the Services. Depending on the license through which you access the Services, you may be able to (a) place restrictions on these sharing and provisioning rights, as the Services features and functions may allow from time to time, and (b) fully revoke any person’s sharing and provisioning rights over that authorized end user’s account or information contained in the authorized end user’s account by submitting a written request to Promissory at support@promissory.com or by using the functionality provided for this purpose on the Site, if any.
No employee, independent contractor, agent, or affiliate of any competing digitally-led tax or estate planning or asset management services company is permitted to view, access, or use any portion of the Service without express written permission from Promissory. By viewing, using, or accessing the Service, you represent and warrant that you are not a competitor of Promissory or any of its affiliates, or acting on behalf of a competitor of Promissory in using or accessing the Service.
3. Not a law firm, no fiduciary relationship
Promissory is not a law firm, accounting firm, or financial advisory firm.  Promissory does not provide legal advice, tax advice, or financial advice, and nothing provided by Promissory shall ever be interpreted to constitute legal, tax, or financial advice, nor create an attorney/client or fiduciary relationship between you and Promissory or any agent or representative of Promissory.  The materials, forms, and content provided through the Site and/or Services are for informational and self-help purposes only and are not a substitute for advice from licensed legal, tax, and financial professionals. Users are encouraged to consult with their own legal, tax, or financial advisors before relying on any materials or taking action based on information provided through the Site and/or Services.
Your use of the Services does not create a fiduciary relationship between you and Promissory. Promissory does not act as a trustee, advisor, or fiduciary to you or to any beneficiary or third party in connection with the Services.
Promissory does not: review information you provide to verify accuracy; provide guarantees of legal sufficiency; provide legal, tax, or financial opinions or advice; make recommendations about your legal rights, remedies, defenses, options, selections, strategies; or at any time apply the law to the facts of your or individual circumstances. Promissory and its services are not a substitute for the advice or services of an attorney and/or other financial professional.
4. Eligibility requirements
To create an account or use any  Services offered through the Site, you must:
  • Be at least 18 years of age
  • Be a resident of the United States
  • Have a Social Security Number (SSN) or Tax Identification Number (TIN)
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete information during the registration and onboarding process. Failure to provide accurate information at any time may result in a waiver of your rights hereunder
5. Account registration and security
a) You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
b) You agree to notify Promissory immediately of any unauthorized access or use of your account, or any other security breach.
c) You are responsible for all activities that occur under your account.
d) Account credentials may not be shared with others for the purpose of enabling multiple individuals to use a single account to generate or submit separate filings, forms, or outcomes. Each user must have their own account if they intend to use the Site and/or Services for their own distinct use case.
6. Fee structure and payment terms
Access to Promissory’s paid Services requires payment of applicable fees, as detailed in the separate agreement or proposal presented to you at the time of purchase. Your payment terms, fee structure, and recurring charges may vary based upon the timing of your proposal, individual or wholesale rates, subscription versus one-time charges, and various other factors relevant to your purchase that may or may not be disclosed to you at the time of sale. There may be no charge for the ability to create an account, but full access to the Site and/or Services generally requires payment. All payments are processed securely through third-party providers. Fees and billing terms are subject to change and will be disclosed in the applicable purchase documentation.
7. Refund policy
Our services are not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If you are a parent or gRefund requests are reviewed on a case-by-case basis and are granted at Primissory’s sole discretion. Refunds, if approved, apply only to the initial purchase and are not available after documents have been signed or delivered, nor will refunds be issued for hard costs Promissory incurred on your behalf and at your direction. Annual fees and add-on service fees are non-refundable once paid. Promissory does not offer prorated refunds for partial periods of service. Refund eligibility and related terms may be further defined in your separate agreement with Promissory that specifically governs your use and the delivery of the Services.uardian and believe your child has provided us with personal information, please contact us.
8. User obligations
a) You agree to provide accurate, current, and complete information during account registration and throughout your use of the Services, including updates to business or personal information as needed to ensure continued accuracy.
b) You agree to use the Site and Services only for lawful purposes and in accordance with these Terms.
c) You are solely responsible for verifying the accuracy of all information you submit or use through the Services and for ensuring compliance with applicable federal, state, and local laws.
9. Intellectual property rights
a) All content, features, and functionality made available on or through the Site and/or through the Services, including without limitation: text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the property of Promise Financial, Inc. or its content providers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
b) You retain ownership of any documents or outputs you generate through the Services, limited to the document itself, and exclusive of the ongoing right to reproduce any general content or language included in Paragraph (a) of this Section 9. By using the Site and/or Services, you grant Promissory a non-exclusive, royalty-free, worldwide license to store, process, and use those documents solely for the purpose of providing and improving the Site and/or Services.
c) Nothing in these Terms grants Promissory any ownership rights in confidential business information, intellectual property, or proprietary processes submitted by users through the Services. Users maintain sole ownership of such materials.
10. Privacy and data collection
a) In connection with your use of the Services, Primissory may collect personal information about you and your beneficiaries, including names, contact details, familial relationships, Social Security Numbers, and other tax-related identifiers.
b) Promissory may also collect information about your business interests, including stock ownership and financial data, as needed to generate and manage applicable forms.
c) Your use of the Site and Services is subject to our Privacy Policy, which is incorporated to these Terms by reference.
d) Promissory retains personal and business information only as required or permitted by applicable law.
e) By submitting any personal information relating to a third party, including but not limited to family members, beneficiaries, or business associates, you represent and warrant that you have the legal authority to provide such information and to permit Promissory to use it in accordance with these Terms and our Privacy Policy.
f) If you submit personal information relating to a minor beneficiary, you represent that you are the parent or legal guardian of that minor or otherwise have the lawful authority to provide that information and direct its use through the Services.
11. Third-party services
a) Promissory uses third-party service providers to support the delivery of the Services, including data hosting, payment processing, trust custody, and valuation services.
b) Promissory may share user information with these third-parties as needed to perform specific functions on your behalf, such as establishing a trust or completing a business valuation. Cookies and similar technologies may be used by Promissory and/or these third-parties to associate your activities with other personal information these third-parties may have with respect to you, including by association with your email. Promissory (or service providers on Promissory’s behalf) may then send communications and marketing to you.
c) Trust custody services are provided by third party providers and are subject to their independent terms and conditions. Promissory does not make any representations or warranties regarding the services provided by trust custody providers or any other third-party provider and is not warranted by Promissory.
d) Payment information is securely processed and stored by Stripe. Promissory does not store full payment credentials on its own systems.
12. Communications
a) By creating an account, you consent to receive communications from Promissory related to your account and the Services, including but limited to communications via email, SMS, telephone calls, and in-app messaging. These communications may include confirmations, alerts, updates, notices, and other information necessary to provide the Services.
b) You may also receive marketing communications from Promissory. You can opt out of marketing emails or promotional messages at any time by following the unsubscribe instructions in those messages.
c) You agree to keep your contact information, including email and mailing address, accurate and up to date at all times.
d) Promissory is not responsible for any failure to deliver notices or other communications due to your failure to maintain accurate contact information, and you waive any claims arising from such failures.
13. Disclaimers
a) THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.
b) Promissory does not guarantee any specific tax, legal, or financial outcomes. You are solely responsible for reviewing and confirming the accuracy of all inputs and outputs provided through the Services.
c) Promissory is not responsible for delays, errors, or issues caused by third-parties, including the IRS, trust providers or other third-parties.
d) Any educational or informational content provided through the Site or Services is for general information only and does not constitute legal, tax, or financial advice. You may wish to consult your own attorney, tax advisor or other qualified financial or other professional regarding your specific situation.
14. Limitation of liability
To the fullest extent permitted by law, Promissory shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or related to your use of the Site and/or Services, even if Promissory has been advised of the possibility of such damages.
Promissory’s total liability to you for any claim arising out of or relating to these Terms or your use of the Site and Services shall not exceed the total amount paid by you to Promissory for the Services during the twelve (12) months preceding the event giving rise to the claim.
15. Compliance requirements
a) Promissory operates in accordance with applicable laws and regulations in the jurisdictions where it offers Services.
b) Certain services provided by Promissory may involve tax form preparation or submission. Where applicable, Promissory or its representatives may be registered with the IRS as tax preparers.
c) You are solely responsible for complying with all applicable tax, legal, and regulatory obligations in connection with your use of the Services, including confirming that any filings or forms meet applicable federal and state requirements.
16. Anti-money laundering and compliance
a) Promissory complies with applicable anti-money laundering (“AML”) laws and regulations. In connection with certain Services, Promissory or its third-party partners may be required to collect and verify personal information to comply with applicable legal requirements.
b) You represent and warrant that any funds or assets you contribute or transfer in connection with your use of the Services are not derived from or used to facilitate any unlawful activity, including money laundering, terrorist financing, or other financial crimes.
c) You further represent and warrant that you will not use any trust, legal entity, or legal agreement created through the Services for any unlawful purpose.
d) You agree to promptly notify Promissory if you become subject to a government investigation or enforcement action that may impact your use of the Site and/or Services or Promissory’s general ability to fulfill its obligations.
17. Service modifications
Promissory reserves the right to modify or discontinue any part of the Site and/or Services, or to revise pricing for future purchases, at any time. Changes will apply on a prospective basis and will not affect Services already purchased under a separate agreement.
Promissory may update these Terms from time to time. Continued use of the Site or Services after any updates become effective constitutes your acceptance of the revised Terms.
18. Termination
a) Either you or Promissory may terminate your account and access to the Services at any time. Promissory may suspend or terminate your access immediately if you violate these Terms, engage in unlawful activity, or as required to comply with any legal obligation(s).
b) Upon termination, your right to access the Services will cease, and Promissory will have no further obligation to provide any Services, support, or access to your account. Fees paid are non-refundable unless and only to the extent otherwise stated in a separate agreement.
c) Promissory may retain account and transaction information after termination in accordance with its data retention practices and applicable law. You may request deletion of certain personal information, subject to legal and operational limitations.
d) Access to the Services is personal to you and may not be transferred or assigned without Promissory’s prior written consent.
19. Force majeure
Promissory shall not be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes or labor disputes, internet or utility outages, supplier or vendor failures, embargoes, government actions, pandemics, or any other events beyond Promissory’s control (each a “Force Majeure Event”).
Promissory’s obligations will be suspended for the duration of the Force Majeure Event and will resume as soon as performance becomes reasonably possible.
20. Dispute resolution
a) Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through final and binding arbitration administered by National Arbitration and Mediation (“NAM”).
b) The arbitration will be conducted in accordance with NAM’s Comprehensive Dispute Resolution Rules and Procedures in effect at the time the arbitration is initiated. The seat and venue of the arbitration shall be San Diego, California. The arbitration shall apply the substantive laws of the State of Delaware, without regard to any conflict of laws principles.
c) By agreeing to arbitration, both you and Promissory waive the right to a trial by jury or to participate in any class action, class arbitration, or representative proceeding.
d) Any claim or cause of action must be brought within two (2) years from the date the claim arose or it is permanently barred.
e) Each party shall bear its own attorneys’ fees and costs incurred in connection with the arbitration, except that the arbitrator may award reasonable fees and costs to the prevailing party if it is determined that the opposing party acted in bad faith or asserted claims or defenses that were frivolous or brought for an improper purpose.
21. Indemnification
You agree to defend, indemnify, and hold harmless Promise Financial, Inc., its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
  • your use of the Site and/or Services in violation of these Terms or applicable law;
  • your breach of any representation or warranty in these Terms; or
  • your infringement or misappropriation of any third party’s intellectual property or other rights.
22. Governing law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to any conflict of law principles.
23. Automated access
Unauthorized scraping, crawling, or automated extraction of content or data from the Site is strictly prohibited. Automated tools, including AI agents, may only interact with the Site through standard user interfaces and in a manner consistent with these Terms.
Use of any content accessed via the Site to train machine learning models or other AI systems is strictly prohibited without Promissory’s prior written consent.
24. Amendments to terms
a) Promissory reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site unless otherwise stated.
b) Your continued use of the Site or Services immediately after such change constitutes your acceptance of the revised Terms.
c) Where appropriate, Promissory may provide notice of material changes via email or through the Services.
25. Severability
If any provision of these Terms is found to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions of these Terms shall remain in full force and effect.
26. Assigment
You may not assign or transfer your rights or obligations under these Terms without Promissory’s prior written consent. Promissory may assign these Terms without restriction in connection with a merger, acquisition, sale of assets, or by operation of law.
27. Headings; interpretation
Section headings are for reference only and do not affect the meaning of any provision. The words “including,” “such as,” and similar terms are deemed to be followed by “without limitation.”
28. Entire agreement
These Terms constitute the entire agreement between you and Promissory regarding the use of the Site and Services and supersede any prior or contemporaneous agreements related to such use.
These Terms do not modify or override any separate agreements you may enter into with Promissory for specific products or services, including proposals, order forms, or subscription agreements.
