PROMISE FINANCIAL, INC., DBA PROMISSORY

These Terms and Conditions constitute a legally binding contract. By creating an account, using our services, or accessing the Promissory.com website, you agree to the Terms and Conditions stated below. Please take the time to carefully read these terms and conditions.

1. ACCEPTANCE OF TERMS

By accessing or using Promissory.com, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you are not authorized to use Promissory.com or its services.

2. SERVICE DESCRIPTION

Promissory.com, owned and operated by Promise Financial, Inc., provides legal forms, information, and processes that help with QSBS stacking. These services fall under financial planning and tax preparation. Promissory drafts tax forms and files them with the IRS and/or provides completed forms to customers so they can file themselves. Our services include tax and legal forms and information provided online.

3. NOT A LAW FIRM

Promissory is not a law firm and does not offer legal advice. Our forms and information are not a substitute for professional legal or tax services. We strongly advise all users to seek appropriate professional counsel from their lawyers, accountants, and other professionals prior to making legal or tax decisions.

4. ELIGIBILITY REQUIREMENTS

To use Promissory's services, you must:

  • Be at least 18 years of age

  • Have a Social Security Number (SSN) or Tax Identification Number (TIN)

  • Be a resident of the United States

  • Have the legal capacity to enter into agreements

  • Provide accurate and complete information

5. ACCOUNT REGISTRATION AND SECURITY

a) You are responsible for maintaining the confidentiality of your account information and password. b) You agree to notify us immediately of any unauthorized use of your account or any other security breach. c) You are responsible for all activities that occur under your account. d) Users may share account information and credentials at their discretion; however, using a single account for multiple different users to achieve individual outcomes is prohibited.

6. FEE STRUCTURE AND PAYMENT TERMS

a) Initial Setup Fee: $7,499 (includes legal documents, trust custody, notary, and valuation of 1 business) b) Annual Fee: $4,999 (after the first year) c) Additional Trusts: $3,299/year each d) Additional Valuations: $3,999 each e) Account creation is free. Users must pay the full amount to create legal documents and use the full features of the platform. f) Fees are subject to change without notice. g) Payment processing is handled securely through Stripe.

7. REFUND POLICY

a) Refunds are issued on a case-by-case basis. b) Refunds are only issued on the initial purchase. c) Once legal documents are signed, the first year fee is non-refundable. d) Annual fees are non-refundable once paid. e) Prorated refunds will not be granted.

8. USER OBLIGATIONS

a) You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. b) To provide an effective service, users must provide updated and accurate information about their business or life circumstances on an annual basis. c) You agree to use the services only for lawful purposes and in accordance with these Terms and Conditions. d) You are responsible for confirming and verifying all information is correct and accurate and follows applicable laws in your state and federal jurisdiction.

9. INTELLECTUAL PROPERTY RIGHTS

a) All content, features, and functionality of Promissory.com, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the property of Promise Financial, Inc. or its content suppliers and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. b) Users retain the right to own the documents they create. Promissory also retains the same rights to these documents. c) Users can retain the right to any IP or confidential processes shared on or with the platform or its partners.

10. PRIVACY AND DATA COLLECTION

a) We collect information about our users and their beneficiaries including full legal name, address, family information (spouse, children, etc.), as well as SSN for user and beneficiaries. b) We also collect information about users' businesses, stock ownership, and financial information about their businesses. c) Your use of Promissory.com is also subject to our Privacy Policy, which will be provided separately. d) We retain information as required by law.

11. THIRD-PARTY SERVICES

a) We use a number of services to process and host information. b) We share user information with third-party partners for trust custody and valuation. c) Trust custody is subject to the terms and conditions of Crawford Trust Company and is not warranted by Promissory. d) Payment information is stored with Stripe. Sensitive information is encrypted and measures like 2FA and auto log out are implemented for security. e) We've instilled transactional safety processes, ensuring that every trust is reviewed by a human. f) Our code is written securely and is regularly audited.

12. COMMUNICATIONS

a) By creating an account with Promissory, you agree to receive communications from us via email, phone, platform messaging, and SMS. b) You agree to update your email and mail addresses as they change in a timely manner. c) You agree to waive any claims arising from a failure to receive communications due to Promissory not being notified of address changes prudently.

13. DISCLAIMERS AND LIMITATIONS OF LIABILITY

a) THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. b) Promissory makes no guarantees of outcomes. Outcomes are at the sole discretion of the user. c) We make no guarantees that the information that users enter is correct. d) We will process everything in a timely manner and as quickly as possible. We are not responsible for delays caused by the IRS or external parties or partners. e) Promissory shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses. f) We are not liable for user outcomes or any potential tax or legal issues that arise from using our services. g) The educational content provided is for informational purposes only and is not tax or legal advice. For specific legal advice about your unique situation, users should consult an attorney or tax expert.

14. COMPLIANCE REQUIREMENTS

a) Promissory complies with applicable laws and regulations, including CCPA. b) We are registered as a tax agent/preparer. c) You are responsible for your compliance with applicable tax laws and regulations.

15. PATRIOT ACT COMPLIANCE

a) To assist the government in combating terrorism financing and money laundering, Federal law mandates all financial institutions to obtain, verify, and document information identifying each individual who opens an account. b) You guarantee that the source of wealth sourced from you and your affiliates and the funds they transfer to the trust, legal entity, or any other legal arrangement were not obtained through illicit activities such as money laundering and/or terrorist financing activities and sources, and/or through any other illegal activities. c) You also guarantee that neither you nor your affiliates will utilize the trust, legal entity, or legal agreement to engage in illicit activities such as money laundering, terrorist financing, or any other illegal activities. d) If you are the subject of a criminal and/or civil investigation initiated by any governmental authority, you will promptly notify Promissory.

16. SERVICE MODIFICATIONS

Our services or fees may change at any time without notice.

17. TERMINATION

a) We reserve the right to terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. b) Accounts are terminated on an as-requested basis. c) We retain the right to hold information indefinitely, unless requested otherwise. d) Services are non-transferable.

18. FORCE MAJEURE

Promissory shall not be liable for any failure of or delay in the performance of this agreement for the period that such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders, or any other force majeure event.

19. DISPUTE RESOLUTION

a) Any dispute arising from or relating to these Terms and Conditions shall be resolved through binding arbitration in the state of Delaware. b) The arbitration will be conducted in accordance with the rules of the American Arbitration Association. c) Any claim must be brought within two years of the alleged dispute, claim, or cause for action.

20. INDEMNIFICATION

You agree to indemnify and hold harmless Promise Financial, Inc., its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all claims, liabilities, damages, and/or costs (including attorneys' fees) arising from your use of Promissory.com, your violation of these Terms and Conditions, or your infringement of any intellectual property or other right of any person or entity.

21. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

22. AUTOMATED ACCESS

Use of scrapers or other automated tools to extract data from Promissory.com is not permitted. A.I. agents are welcome.

23. AMENDMENTS TO TERMS

a) We reserve the right to modify these Terms and Conditions at any time. b) Changes to our Terms and Conditions will be effective immediately upon posting. c) Your continued use of Promissory.com after any changes to the Terms and Conditions constitutes your acceptance of such changes. d) Users will be notified via email where applicable or relevant.

24. SEVERABILITY

If any provision of these Terms and Conditions is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions of these Terms and Conditions shall remain in full force and effect.

25. ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between you and Promise Financial, Inc. regarding the use of Promissory.com, superseding any prior agreements between you and Promise Financial, Inc. relating to your use of Promissory.com.
